Terms of Service Agreement

Welcome to GoodsLoading ! By signing up for a GoodsLoading Account or by using any GoodsLoading Website and Services (as defined below), you are agreeing to be bound by the following terms and conditions (the “Terms of Service”).

This Term of Services is entered into by and between you or the company that you represent ("you","Customer") and GoodsLoading LLC, together with its affiliates and subsidiaries ("Company", "GoodsLoading", "we", or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Service","TOS"), govern your access to and use of the content, functionality, and services (collectively, the "Services" or "Service") available on or through www.goodsloading.com and/or www.goodsloading.ru (including subdomains) (individually and collectively, the "Website").

Please read this Terms of Service carefully before you access and start to use the Website and/or Services. By using the Website and/or Services or by clicking to accept or agree to the Terms of Service as a condition to accessing the Website and/or Services, you accept and agree to be bound and to abide by these Terms of Service. If you do not want to agree to these Terms of Service or to the Privacy Policy, you must not access or use the Website and/or Services.

Eligibility & Registration

You must be 18 years or older to use the Services. By registering as a user or providing personal information on the Website and/or Services, you represent that you are at least 18 years old.

In order to use the Services, you must register for an account "(Account)". By registering an Account, you declare that data provided is consistent with the factual and legal status. The Customer must not impersonate others, or otherwise misrepresent their identity.

We may, in our sole discretion, refuse to provide or continue providing Services to any person or entity and change eligibility criteria at any time, including if you fail to comply with the TOS. We reserve the right to deactivate, terminate, prevent access to, disable Services for, and/or delete any Accounts or access to the Websites and/or Services at any time at our sole discretion.

GoodsLoading’s Proprietary Rights

The Websites and Services are owned and/or provided by GoodsLoading. The names, logos, trademarks, trade dress, arrangements, visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Websites and Services ("Materials") that we provide are protected by intellectual property and other laws. All Materials included in the Websites and Services are the property of GoodsLoading or its third party licensors. You may only use the Websites and Services as expressly authorized by us and as set forth in this TOS.

You agree that we may freely exploit and make available any and all feedback, suggestions, ideas, enhancement requests, recommendations or other information you provide to us relating to the Services.

You consent to the Company to include your name, logos, and trademarks in our promotional and marketing materials and communications.

Security & Data Privacy

The Company will implement commercially reasonable and industry accepted efforts to maintain our security systems in such a way as to minimize the threat of unauthorized access to the Website and Services and the features and functionality provided there. Notwithstanding our commercially reasonable efforts, however, you acknowledge that use of a Website and/or Services environment that you are accessing necessarily involves transmission of data over networks that are not owned, operated, or controlled by us, and that we are not responsible for any data that are lost, altered, intercepted, or stored across such networks. We cannot guarantee that our security procedures will be error-free, that transmissions of data will always be secure, or that unauthorized third parties will never be able to defeat our security measures or those of our third party service providers.

Changes to the Terms of Service

We may revise and update these Terms of Service from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website and/or Services thereafter. Your continued use of the Website or access to the Services following the posting of revised Terms of Service means that you accept and agree to the changes. You are expected to check this page from time to time so that you are aware of any changes, as they are binding on you

You may use the Website only for lawful purposes and in accordance with these Terms of Service. You agree not to use the Website and/or Services:

• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website and/or Services, or expose them to liability.

Additionally, you agree not to:

• Use the Website and Services in any manner that could disable, overburden, damage, or impair the Website or interfere with any other party's use of the Website and Services, including their ability to engage in real time activities through the Website and Services.
• Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website and/or Services.
• Use any manual process to monitor or copy any of the material on the Website and Services, or for any other purpose not expressly authorized in these Terms of Service, without our prior written consent.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website and Services, the server on which the Website and/or Services is stored, or any server, computer, or database connected to the Website and Services.
• Attack the Website and Services via a denial-of-service attack or a distributed denial-of-service attack.
• Otherwise attempt to interfere with the proper working of the Website and Services.

No warranty and Limitation of Liability

To the fullest extent permitted by law, in no event will we be liable to you for any indirect, incidental, special, consequential or punitive damages (including damages for loss of profits, goodwill, or any other intangible loss) arising out of or relating to your access to or use of, or your inability to access or use, the Websites and Services or any materials or content on the Websites and Services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been informed of the possibility of damage. To the fullest extent permitted by law, you agree we will have no liability for any data that may be destroyed, lost or otherwise rendered inaccessible, whether because you failed to backup your data or for any other reason.

We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.

We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.

We do not warrant that the Websites or Services will be secure or available at any particular time or location; We do not warrant any defects or errors will be corrected;

We do not warrant any content or software available at or through the Websites or Services is free of viruses or other harmful components or the results of using the Websites or Services will meet your requirements.

You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

You expressly agree that your use of, or inability to use, the Services is at your sole risk. The Website and Services provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

The Website and Services are only available over the internet. It is your responsibility to set up your devices and network connections correctly so that you can use the Website and Services to its full extent, including setting up your web browsers. We are not responsible for the operation of your internet connection or for the correct settings of your devices or networks.

Indemnification

You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, our partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand.

Termination

We reserve the right, in our sole discretion, to terminate your access to all or any part of the Websites and Services at any time, with or without notice, effective immediately. Any such termination may result in the immediate forfeiture and destruction of data associated with your Account. Except as otherwise set forth herein or expressly agreed between the parties, any and all fees paid to us are non-refundable and any and all fees still owed to us at the time of such termination shall be immediately due and payable. Upon termination, any and all rights granted to you by this TOS will immediately be terminated, and you must also promptly discontinue all use of the Websites and Services.

The Services and access to your user account will be provided for the selected Subscription period or until termination of your access to the free version of the Services. Upon termination, your right to use the Services and user account immediately ceases to exist.

If you do not renew the Subscription period or if your access to the free version of the Service is terminated, we may delete all data associated with your user account and the Service. It is your responsibility to back up your important data. We are not responsible for provision of any backups of your data.

Modifications

From time to time, GoodsLoading may add new features to the Websites and the Services, remove existing features from the Websites and the Services, or otherwise modify the Websites and the Services (including their functionality, “look-and-feel”, universal resource locators and software components).

Consent to Electronic Communications.

By using the Websites and Services, you consent to receiving certain electronic communications from us. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.

Force Majeure

GoodsLoading shall not be liable for nonperformance of the terms herein to the extent that GoodsLoading is prevented from performing as a result of any act or event which occurs and is beyond GoodsLoading’s reasonable control, including, without limitation, acts of God, war, unrest or riot, strikes, any action of a governmental entity, weather, quarantine, fire, flood, earthquake, explosion, utility or telecommunications outages, Internet disturbance, epidemic, pandemic or any unforeseen change in circumstances, or any other causes beyond our reasonable control.

Reservation of Rights.

Company reserves the right at any time to cease the support of the Services and to alter prices, features, specifications, capabilities, functions, licensing terms, release dates, general availability, or other characteristics of our Website and Services.
